ViveTube: YouTube Insights for Google Sheets - Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ViveTube: YouTube Insights for Google Sheets add-on ("ViveTube" or "the Add-on"), provided by ViveScript Solutions LLC ("we," "us," or "our").

By installing, accessing, or using ViveTube, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the Add-on.

1. Acceptance of Terms

By using ViveTube, you affirm that you are of legal age to enter into this agreement and that you accept these Terms. You also agree to comply with all applicable laws and regulations, including Google's Terms of Service for Google Workspace and YouTube's Terms of Service.

2. Description of Service

ViveTube is a Google Sheets add-on designed to help YouTube content creators, marketers, and analysts track and analyze their YouTube channel performance data directly within Google Sheets. The Add-on fetches data from the YouTube Data API and YouTube Analytics API and populates it into your Google Sheet.

Key features include:

  • Fetching channel metadata (subscribers, views, video count).
  • Retrieving detailed analytics (views, watch time, subscribers gained/lost, engagement metrics, demographics, estimated revenue for monetized channels).
  • Managing a list of tracked YouTube channels.
  • Automated data refresh (for paid plans).
  • Automated email reports (for paid plans).
  • Subscription management with various plan tiers (Free, Trial, Basic, Pro).

3. User Responsibilities

You agree to:

  • Comply with Google Policies: Adhere to Google's Terms of Service for Google Workspace, Google Apps Script, and the Google Workspace Marketplace policies.
  • Comply with YouTube Policies: Adhere to the YouTube Terms of Service and YouTube API Services Terms of Service. Your use of the Add-on must not violate any of these terms.
  • Provide Accurate Information: Ensure that any information you provide to us, including your email address for subscription management, is accurate and up-to-date.
  • Proper Use: Use the Add-on only for its intended purpose. You shall not:
  • Attempt to gain unauthorized access to the Add-on's code or underlying systems.
  • Use the Add-on for any illegal or unauthorized purpose.
  • Engage in any activity that interferes with or disrupts the Add-on or its associated services.
  • Attempt to circumvent any limitations or restrictions imposed by the Add-on, including subscription plan limits.
  • API Quota Management: Understand that the Add-on uses YouTube API quotas. While we strive to optimize usage, excessive manual refreshes or configurations may contribute to reaching API limits.

4. Intellectual Property

ViveTube and all its contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ViveScript Solutions LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Add-on for your personal or internal business use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Add-on, except as generally permitted by Google Sheets functionality.

5. Subscription and Payments

  • Plans: ViveTube offers various subscription plans (Free, Trial, Basic, Pro) with different features and channel limits, as detailed on our website and within the Add-on's interface.

    • Free Plan: $0 – Manual data refresh, 1 channel
    • Basic Plan: $3/month – Daily refresh, engagement metrics
    • Pro Plan: $9/month – Track 3 channels, email summaries
    • (Annual plans save ~16%, 15-day free trial on Basic)

  • Billing: Paid plans are offered on a monthly or annual billing cycle. Payments are processed securely through Stripe, a third-party payment processor. We do not store your credit card information.

  • Automatic Renewal: Unless you cancel your subscription, it will automatically renew at the end of each billing cycle.

  • Cancellation: You may cancel your subscription at any time through your account management portal on our website (https://www.vivescriptsolutions.com). Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until then.

  • Refunds: All sales are final. We do not offer refunds for any subscription fees paid, except where required by law.

  • Price Changes: We reserve the right to change our subscription prices at any time. We will provide you with reasonable advance notice of any price changes.

6. Disclaimer of Warranties

VIVETUBE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VIVESCRIPT SOLUTIONS LLC DOES NOT MAKE ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE ADD-ON. WITHOUT LIMITING THE FOREGOING, VIVESCRIPT SOLUTIONS LLC DOES NOT REPRESENT OR WARRANT THAT THE ADD-ON, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE ADD-ON WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE ADD-ON WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

7. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL VIVESCRIPT SOLUTIONS LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE ADD-ON, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE ADD-ON OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

8. Indemnification

You agree to defend, indemnify, and hold harmless ViveScript Solutions LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Add-on, including, but not limited to, your use of the Add-on's content, services, and products other than as expressly authorized in these Terms.

9. Governing Law and Jurisdiction

All matters relating to the Add-on and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of [Your State, e.g., Delaware] without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Add-on shall be instituted exclusively in the federal courts of the United States or the courts of the State of [Your State, e.g., Delaware], although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

10. Changes to the Terms of Service

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Add-on following the posting of revised Terms means that you accept and agree to the changes.
